Bill.com, LLC, BILL Operations, LLC, Bill.com International, Inc., Bill.com Canada, LLC, Bill.com International, LLC, and Bill.com Capital Holdings, LLC (collectively, “BILL”) and the BILL family of companies, including DivvyPay, LLC, (together, along with its affiliates, subsidiaries, successors, and assigns, “BILL Companies”, “We”, “Us”, or “Our”) welcomes you to Our Website! The “Website” means  www.bill.com, any mobile or localized versions and related subdomains, in whatever format they may be offered. Through the Website, We may provide you with general information regarding Our company and Our Product (as defined below) and other resources.

By accessing any part of the Website, you are agreeing to these Website terms of use (“Terms”), and acknowledge you have read Our Privacy Notice, which governs Our collection and handling of personal information about you, including information We collect about you on this Website. By accessing or using the Website, you consent to all actions taken by Us with respect to your information in compliance with the Privacy Notice.

PLEASE READ THESE TERMS CAREFULLY TO ENSURE THAT YOU UNDERSTAND EACH PROVISION. THESE TERMS CONTAIN A MANDATORY INDIVIDUAL ARBITRATION PROVISION THAT REQUIRES THE USE OF ARBITRATION ON AN INDIVIDUAL BASIS TO RESOLVE DISPUTES.

Children, as defined by applicable law, are not eligible to use, access or otherwise interact with the Website. By accessing the Website you represent and warrant that you are of legal age to form a binding contract with BILL and meet all the foregoing eligibility requirements. If you do not meet all these requirements, you must not access or use the Website.


Other Terms and Conditions

BILL offers a financial operations platform to help small and midsize businesses more efficiently control their payables, receivables and spend and expense management (Our “Product”). While you may register for, purchase, or access the Product through this Website, the Product, and your and Our activities related to the Product, are governed solely by the BILL General Terms of Service and/or BILL Spend  Expense Terms of Service.


Changes to Terms

We may revise and update these Terms from time to time in Our sole discretion. Whenever you visit or use this Website, you agree to the version of these Terms then posted. If you don’t agree to these Terms, don’t use the Website. All changes are effective immediately when We post them, and apply to all access to and use of the Website thereafter. However, any changes to the dispute resolution provisions set out in Governing Law and Jurisdiction will not apply to any disputes for which the parties have actual notice on or before the date the change is posted on the Website.

Your continued use of the Website following the posting of revised Terms means that you accept and agree to the changes. You are expected to check this page each time you access this Website so you are aware of any changes, as they are binding on you.


Mandatory Arbitration

In the interest of resolving disputes between You and BILL in the most expedient and cost-effective manner, YOU AND THE BILL AGREE THAT ANY DISPUTE, CLAIM, OR CONTROVERSY ARISING OUT OF OR RELATING IN ANY WAY TO OUR PRODUCTS, THE WEBSITE, OR THESE TERMS (A “CLAIM”) WILL BE RESOLVED ON AN INDIVIDUAL BASIS BY BINDING ARBITRATION OR IN SMALL CLAIMS COURT WHERE JURISDICTIONAL CRITERIA ARE MET. You and BILL are each waiving the right to a jury trial or to participate in a class action. This arbitration provision shall survive termination of this Agreement.

The Federal Arbitration Act ("FAA") and, to the extent not inconsistent with the FAA, the law of the State of California without regard to principles of conflict of laws govern the interpretation and enforcement of this arbitration provision. 

Notwithstanding the parties' agreement to resolve all disputes through arbitration, either party may seek relief in a small claims court for disputes or claims within the scope of that court's jurisdiction and on an individual (non-class) basis only.

Class Action Waiver. TO THE FULLEST EXTENT PERMITTED BY LAW, YOU AND  BILL AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING. YOU AND BILL AGREE THAT CLASS ACTIONS, CLASS ARBITRATIONS, REPRESENTATIVE ACTIONS, AND/OR CONSOLIDATION OF ACTIONS OR ARBITRATIONS ARE NOT ALLOWED.  If this specific Class Action Waiver provision is found to be unenforceable, then the entirety of this Dispute Resolution section shall be null and void.

If a party to these Terms intends to seek arbitration, it must first send a written demand for arbitration of the Claim (the “Notice”) to the other party and to the arbitration provider, the Judicial Arbitration and Mediation Services Inc. (“JAMS”). Information about commencing an arbitration under JAMS is found at www.jamsadr.com. The Notice of Claim to BILL should be sent in care of our registered agent: Incorporating Services, Ltd., 3500 South DuPont Hwy, Dover, Delaware 19901. The Notice should include both the mailing address and email address You would like BILL to use to contact You. The Notice, whether sent by You or BILL, must describe: (a) the nature and basis of the Claim; and (b) the remedy sought.

Arbitrations shall be administered by the JAMS under the Streamlined Arbitration Rules and Procedures of JAMS then in effect, where the claim limit for application of the Streamlined Rules is not exceeded. Where the Streamlined Rules do not apply, then the JAMS Comprehensive Rules will apply. The arbitrator is bound by these Terms. These Terms override any inconsistent, conflicting or contrary Rules by JAMS. 

The arbitration will be decided by one commercial arbitrator with substantial experience in resolving commercial disputes, who shall be selected from the appropriate list of JAMS arbitrators in accordance with applicable Rules. If you are a resident of the United States, then the arbitration hearing shall be held in the county in which you reside or at another mutually agreed location. If you are not a United States resident, the arbitration hearing will be held in Santa Clara County, California. Except as otherwise expressly provided herein, all issues are for the arbitrator to decide, including issues relating to the interpretation, scope and enforceability of these Terms.

The arbitrator shall issue a written decision sufficient to explain the essential findings and conclusions on which the award is based. The award shall be binding only among the parties and shall have no preclusive effect in any other arbitration or other proceeding involving a different party. Judgment on any award may be entered in any court having jurisdiction.

Nothing in this section affects the rights of a party to seek temporary injunctive or declaratory relief from a court of appropriate jurisdiction to prevent imminent or irreparable harm or to seek to enjoin (i) any prohibited or unauthorized use of Our Website or (ii) infringement of intellectual property rights.

Unless You or BILL seek to have a Claim resolved in small claims court, the arbitrator shall determine all issues of liability on the merits of any Claim asserted by You or BILL and may award declaratory or injunctive relief only in favor of the individual party seeking relief and only to the extent necessary to provide relief warranted by that party’s individual Claim. 

Payment of all filing, administrative, and arbitrator fees will be governed by the JAMS Rules. BILL will reimburse You for the JAMS filing fee up to the amount of the filing fee You would have incurred if You had brought Your Claim in court. However, if the arbitrator finds that either the substance of Your Claim or the relief sought in the demand is frivolous or brought for an improper purpose (as measured by the standards set forth in Federal Rule of Civil Procedure 11(b)), You agree to reimburse BILL for any fees paid on Your behalf that would otherwise be Your obligation under the JAMS Rules. The parties agree that JAMS has discretion to modify the amount or timing of any administrative or arbitration fees due under the JAMS Rules where it deems appropriate, provided that such modification does not increase the JAMS fees to You or  BILL and YOU and BILL waive any objection to such fee modification.

Except for the provisions in the Class Action Waiver section of this Agreement, if any part of this arbitration provision is found to be invalid or unenforceable, the remaining provisions of this Agreement will still apply.


Accessing the Website

We reserve the right to withdraw or amend this Website, and any service or material We provide on the Website, in Our sole discretion without notice. We will not be liable if for any reason all or any part of the Website is unavailable at any time or for any period. From time to time, We may restrict user access, including registered user access, to some parts of the Website or the entire Website.

You are responsible for both:

  • Making all arrangements necessary for you to have access to the Website.
  • Ensuring that all persons who access the Website through your internet connection are aware of these Terms and comply with them.

To access the Website or some of the resources it offers, you may be asked to provide certain registration details or other information. It is a condition of your use of the Website that all the information you provide on the Website is correct, current, and complete. 


Intellectual Property; Trademarks

The Website and its entire contents, features, and functionality (including but not limited to all information, software, text, displays, images, video, and audio, and the design, selection, and arrangement thereof) are owned by BILL, its licensors, or other providers of such material and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.

You must not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any of the material on Our Website, without Our prior written consent. Your computer may temporarily store copies of such materials in RAM incidental to your accessing and viewing those materials.

The BILL logo, and the “b” logo are trademarks of BILL Operations, LLC.  You must not use such marks without the prior written permission of BILL.   All other company names and brands are the property of their respective owners.

Prohibited Uses

You may use the Website only for lawful purposes and in accordance with these Terms. You agree not to use the Website:

  • In any way that violates any applicable federal, state, local, or international law or regulation (including, without limitation, any laws regarding the export of data or software to and from the US or other countries). 
  • To exploit, harm, or attempt to exploit or harm minors in any way by exposing them to inappropriate content, asking for personally identifiable information, or otherwise.
  • To transmit, or procure the sending of, any advertising or promotional material, including any "junk mail," "chain letter," "spam," or any other similar solicitation.
  • To impersonate or attempt to impersonate BILL, a BILL employee, another user, or any other person or entity (including, without limitation, by using email addresses or screen names associated with any of the foregoing).
  • To engage in any other conduct that restricts or inhibits anyone's use of the Website, or which, as determined by Us, may harm BILL or users of the Website, or expose them to liability.

Additionally, you agree not to:

  • Use the Website in any manner that could disable, overburden, damage, or impair the site or interfere with any other party's use of the Website, including their ability to engage in real time activities through the Website.
  • Use any robot, spider, or other automatic device, process, or means to access the Website for any purpose, including monitoring or copying any of the material on the Website.
  • Use any manual process to monitor or copy any of the material on the Website, or for any other purpose not expressly authorized in these Terms, without Our prior written consent.
  • Use any device, software, or routine that interferes with the proper working of the Website.
  • Introduce any viruses, Trojan horses, worms, logic bombs, or other material that is malicious or technologically harmful.
  • Attempt to gain unauthorized access to, interfere with, damage, or disrupt any parts of the Website, the server on which the Website is stored, or any server, computer, or database connected to the Website. 
  • Attack the Website via a denial-of-service attack or a distributed denial-of-service attack.
  • Otherwise attempt to interfere with the proper working of the Website.


Monitoring and Enforcement; Termination

We have the right to:

  • Take any action that We deem necessary or appropriate in Our sole discretion, including if We believe that your access to Our Website violates the Terms, infringes any intellectual property right or other right of any person or entity, threatens the personal safety of users of the Website or the public, or could create liability for BILL.
  • Disclose your identity or other information about you to any third party who claims that material posted by you violates their rights, including their intellectual property rights or their right to privacy.
  • Take appropriate legal action, including without limitation, referral to law enforcement, for any illegal or unauthorized use of the Website. 
  • Terminate or suspend your access to all or part of the Website for any or no reason, including without limitation, any violation of these Terms.

Without limiting the foregoing, We have the right to cooperate fully with any law enforcement authorities or court order requesting or directing Us to disclose the identity or other information of anyone using the Website, including posting any materials on or through the Website. YOU WAIVE AND HOLD HARMLESS BILL AND ITS AFFILIATES, LICENSEES, AND SERVICE PROVIDERS FROM ANY CLAIMS RESULTING FROM ANY ACTION TAKEN BY ANY OF THE FOREGOING PARTIES DURING, OR TAKEN AS A CONSEQUENCE OF, INVESTIGATIONS BY EITHER SUCH PARTIES OR LAW ENFORCEMENT AUTHORITIES.

The information presented on or through the Website is made available solely for general information purposes. We do not warrant the accuracy, completeness, or usefulness of this information. Any reliance you place on such information is strictly at your own risk. We disclaim all liability and responsibility arising from any reliance placed on such materials by you or any other visitor to the Website, or by anyone who may be informed of any of its contents.


Changes to the Website

Limitation on Liability

Indemnification

You agree to defend, indemnify, and hold harmless BILL, its affiliates, licensors, and service providers, and its and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms or your use of the Website, including, but not limited to any use of the Website's content, other than as expressly authorized in these Terms, or your use of any information obtained from the Website.


Governing Law and Jurisdiction

All matters relating to the Website and these Terms, and any dispute or claim arising therefrom or related thereto (in each case, including non-contractual disputes or claims), shall be governed by and construed in accordance with the internal laws of the State of California, without regard to its conflicts of law provisions. To the extent that any dispute or action relating to these Terms is permitted to be brought in a court of law, You agree that the legal action or proceeding will be brought exclusively in the state courts located in Santa Clara County, California, or the federal courts in the Northern District of California. You and BILL agree to submit to the exclusive jurisdiction of and agree that venue is proper in the state courts located in Santa Clara County, California, or the federal courts in the Northern District of California in any legal action or proceeding. The United Nations Convention on Contracts for the International Sale of Goods will not apply to any matters arising out of or relating to this Agreement.


Waiver and Severability

No waiver by BILL of any term or condition set out in these Terms shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition, and any failure of BILL to assert a right or provision under these Terms shall not constitute a waiver of such right or provision.

If any provision of these Terms is held by a court or other tribunal of competent jurisdiction to be invalid, illegal, or unenforceable for any reason, such provision shall be eliminated or limited to the minimum extent such that the remaining provisions of the Terms will continue in full force and effect.
